Some services operate under one-time payment, while others are subscription-based.
3. Payment Policy
All payments must be made as agreed in the proposal or invoice.
Activated or delivered projects are non-refundable.
Subscription plans renew automatically unless canceled in advance.
4. Subscription Payment Failure
In the event of any failed, delayed, or incomplete subscription payment, the Service Provider reserves the right to suspend or terminate the service immediately without prior notice. Reactivation of the service will only occur after full payment of the outstanding balance and confirmation of a valid payment method for subsequent billing periods. The Provider shall not be held liable for any data loss, service interruption, or business impact resulting from such suspension or termination.
5. Intellectual Property
All technology, code, and AI models developed by Futurescale remain our property.
Clients receive a license to use the solution for business purposes only.
Reproduction, resale, or modification without written consent is prohibited.
6. Data & Privacy
We respect client confidentiality and handle all data securely.
Futurescale follows international data protection standards and will not share client data without consent.
7. Liability & Warranty
We ensure system reliability during the agreed support period.
Futurescale is not liable for indirect losses or misuse of our products.
Total liability is limited to the service fee paid.
8. Jurisdiction
These Terms follow international commercial law for AI and digital services, or as mutually agreed between Futurescale and the client’s country of operation.
9. Updates
Futurescale may update these Terms from time to time.
Continued use of our services indicates acceptance of the latest version.
User Agreement
1. General Terms of Use
By accessing or using any product or service developed, implemented, or distributed by Futurescale, you (“the Client” or “User”) are deemed to have read, understood, and agreed to all terms, policies, and disclaimers stated in this Agreement.
All products provided by Futurescale are custom-built solutions, designed and delivered based on each client’s specific requirements and approval. Futurescale’s role is to implement what the client orders, not to guarantee any form of business success, sales increase, or performance outcome.
Futurescale reserves the right to update this Agreement at any time without prior notice. Continued use of our products or services indicates acceptance of all updates.
2. Product-Specific Terms
A. Voice Call AI Robot (Powered by Tomoru)

The Voice Call AI Robot is developed and powered by Tomoru, an international AI voice technology provider headquartered in Russia, and distributed in Southeast Asia through Futurescale as an official partner.

All core technologies, infrastructure, and systems remain under the jurisdiction and management of Tomoru.

Futurescale acts solely as the facilitator and local implementation partner for setup, integration, and client communication.

Futurescale is not fully responsible for any technical issues, interruptions, or malfunctions that originate from Tomoru’s platform, infrastructure, or systems.

Futurescale will facilitate communication and coordination for technical resolutions with Tomoru but bears no liability for delays or issues outside its operational control.
B. Chatbot AI Terms of use | OpenAI

The Chatbot AI provided by Futurescale is a custom-built conversational system designed according to the client’s specific requirements, brand tone, and approved content.

All chatbot responses are based on information, data, or FAQ materials supplied, approved, or validated by the client. Futurescale does not create or modify any knowledge content unless explicitly instructed by the client.

The chatbot system operates on the GPT engine developed by OpenAI, integrated through Futurescale’s framework for client deployment.

While the GPT engine provides advanced natural language understanding and response generation, it may produce responses that are probabilistic or interpretive, depending on the client’s data quality, configuration, and input structure.

Therefore, Futurescale does not guarantee the accuracy, completeness, or business outcome of any chatbot-generated conversation.

Futurescale shall not be held responsible for any miscommunication, misinformation, or conversion results produced by the Chatbot AI, as such outcomes depend on various external factors including user behavior, prompt quality, content design, and system integration.

The client acknowledges and agrees that the Chatbot AI’s responses are a reflection of the client’s provided data and FAQ knowledge, and any modification or correction remains the responsibility of the client.
C. AI Agent

The AI Agent developed by Futurescale operates according to scripts, workflows, and data provided or approved by the client.

Futurescale is not responsible for any missed responses, errors, miscommunications, or operational issues resulting from:

Incorrect or incomplete client data,

Unapproved or inaccurate instructions, or
-
Misuse, modification, or integration errors performed by the client or third parties.

Futurescale provides support for configuration and setup but bears no liability for errors originating from client-side actions or usage beyond the originally agreed scope.
D. AI Lead Generator

The AI Lead Generator developed by Futurescale is designed to automate outreach, engagement, and data capture based on parameters defined by the client.

Conversion rates, sales outcomes, or lead quality depend on numerous external factors such as client follow-up speed, market condition, offer attractiveness, and user response behavior.

Futurescale cannot and does not guarantee any specific conversion result, sales performance, or lead outcome.
-
The client agrees that Futurescale’s role is limited to providing the technical solution, while the business results depend entirely on the client’s execution and follow-up actions.
E. SIP (Infrastructure Provider for Voice Call AI Robot) and Technical Limitations

Some technical systems operated by Futurescale products—particularly those powered by Tomoru, OpenAI, or global AI platforms—may rely on Server Infrastructure Providers (SIP) located in different countries or continents.

These systems may be affected by cross-continental network latency, weather conditions, data routing, or regional infrastructure limitations.

Futurescale is not responsible for any technical delay, downtime, or error caused by third-party infrastructure, external server locations, or environmental factors outside Indonesia.

Futurescale’s role is to facilitate and bridge communication between the client and the respective provider (Tomoru, OpenAI, or related SIP) for resolution.

Futurescale will make reasonable efforts to ensure support continuity but does not assume full liability for any infrastructure-related issues beyond its operational control.
3. Limitation of Liability
To the fullest extent permitted by applicable law:

Futurescale shall not be liable for any direct, indirect, incidental, or consequential loss or damage arising from the use or performance of any of its products or services.

Futurescale’s total liability, if any, shall be limited strictly to the service fees paid by the client for the specific project or solution in question.
4. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Indonesia or International Regulations. Any disputes shall be resolved amicably through negotiation or through legal proceedings within Indonesian jurisdiction.
Conversion Result Disclaimer
The Client acknowledges that any results or conversion outcomes derived from the use of Futurescale’s AI solutions are influenced by multiple factors, including but not limited to operational execution, human input, market conditions, data quality, and external variables beyond the Provider’s control. Therefore, Futurescale shall not be held responsible or liable for any conversion results, performance outcomes, or business impacts arising from the Client’s use of the AI tools, systems, or infrastructure. The success of any conversion or result depends on the Client’s overall strategy, management, and implementation.
Acceptance of Terms and Conditions
By accessing, using, or engaging with any of Futurescale’s services, platforms, or AI technologies, the Client hereby acknowledges and agrees to be bound by all applicable Terms & Conditions, Privacy Policies, and related agreements. Continued use of the service constitutes full acceptance of these terms. Failure to read or review the Terms & Conditions shall not exempt the Client from compliance, nor shall it be considered a valid excuse for any breach or misunderstanding of the agreements.
Conversion Performance Disclaimer
Futurescale provides advanced AI technologies designed to support and enhance business performance. However, Futurescale is not liable or responsible for the achievement of any specific conversion results. Conversion outcomes are influenced by multiple interrelated factors including, but not limited to:

Client’s internal processes and operational execution

Quality and consistency of marketing strategies

Market conditions and customer behavior
-
Data accuracy and availability provided by the client

The client’s ongoing optimization and alignment with best practices
Therefore, while Futurescale will deliver solutions to the highest industry standards, the client remains fully responsible for the final conversion performance and its contributing factors.
